Terms of Service

These Terms of Service ("Terms") are entered into between MothPay Limited ("MothPay", "we") and you ("Client", "you"), governing your rights and obligations when using the MothPay platform and related services.

1. Service Eligibility

To use MothPay services, you must meet the following conditions:

• You are a legally registered business entity or a legally competent adult (representing a business)
• Your jurisdiction is not restricted or prohibited by MothPay or relevant regulatory authorities
• You have completed MothPay's required KYC/KYB verification process
• Your business does not involve industries prohibited under the MothPay Service Agreement
• You have authority to enter into legally binding agreements on behalf of your business
• You agree and commit to comply with these Terms and all applicable laws and regulations

2. Account Management

2.1 Account Security

You are responsible for maintaining the security of your account credentials, including API keys, login passwords, and 2FA devices. If you discover unauthorized access, you must immediately notify MothPay.

2.2 Information Accuracy

You must provide true, accurate, and complete account information and update it promptly when changes occur. Providing false information may result in account suspension or termination.

2.3 Account Transfer

Accounts are non-transferable. Without MothPay's written consent, you may not assign the account or any rights thereunder to any third party.

3. Fees & Settlement

Regarding fees and settlement, you understand and agree that:

• Specific rates are governed by your signed Service Agreement or the rate schedule published on the platform
• MothPay reserves the right to adjust rates with 30 days' written notice
• All fees are settled in USD unless otherwise explicitly agreed in the Service Agreement
• Fees, once confirmed, are non-refundable except in circumstances explicitly provided for in these Terms
• Billing disputes must be raised in writing within 30 days of the invoice date
• Overdue payments accrue late fees at 1.5% per month

4. Prohibited Activities

When using MothPay services, you expressly commit not to engage in: money laundering, terrorist financing, fraud, or market manipulation; violations of applicable sanctions regulations; sale of controlled items; gambling or unauthorized gaming; adult content or services.

Violations will result in immediate account termination, and we reserve the right to report to law enforcement authorities.

5. Intellectual Property

The MothPay platform and all its content (including but not limited to source code, trademarks, interface design, documentation, and databases) are the proprietary property of MothPay Limited. Reproduction, modification, distribution, or sale of any such content without written permission is prohibited.

6. Limitation of Liability

To the maximum extent permitted by law, MothPay is not liable for any indirect, incidental, special, or punitive losses. MothPay's total maximum liability to you shall not exceed the total service fees you paid to MothPay in the three (3) months preceding the claim.

7. Service Suspension & Termination

MothPay may suspend or terminate your account in the following circumstances:

• Violation of these Terms of Service or the Acceptable Use Policy
• Engaging in fraudulent, money laundering, or other illegal activities
• Regulatory authority requirements or court orders
• Your account poses a security risk to MothPay or other users

8. Dispute Resolution

Any dispute arising from or related to these Terms shall first be attempted to be resolved amicably through written negotiation within 30 days. If unsuccessful, it shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for final and binding arbitration, seated in Hong Kong.

9. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles.

10. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will notify you at least 30 days in advance via email to your registered address or prominent platform notification.
